Shares of the Fund are also offered to holders of Class C
shares of the Prudential Mutual Funds as part of their exchange
privilege with a minimum initial investment of $1,000 and a minimum
subsequent investment of $100. All minimum investment requirements
are waived for certain retirement and employee savings plans and
custodial accounts for the benefit of minors.
