The Company's Quarterly Report on Form 10-QSB for the period ended
September 30, 1999 cannot be filed within the prescribed time period without
unreasonable effort or expense until the Company completes its accounting review
and properly accounts for certain expenses. The Form 10-QSB will be filed as
soon as reasonably practicable and in no event later than the fifth calendar day
following the prescribed due date.

The Company anticipates reporting a Net Loss of approximately $411,070 for
the three month period ended September 30, 1999 versus a Net Loss of
approximately $544,747 for the three month period ended September 30, 1998;
however, as further set forth in Part III, the Company cannot provide an exact
figure until completing its accounting review and properly accounting for
certain expenses.
In addition, as previously disclosed, the Company, along with all of its
operating subsidiaries, filed voluntary petitions for reorganization under
Chapter 11 of the United States Bankruptcy Code. These voluntary petitions were
filed on October 1, 1999 in the United States Bankruptcy Court of the Middle
District of Florida, Tampa Division (Case No. 99-16012-8C1).

GENERAL INSTRUCTIONS

Regulations under the Securities Exchange Act of 1934.

amendments thereto must be completed and filed with the Securities and Exchange
Commission, Washington, DC 20549, in accordance with Rule 0-3 of the General
Rules and Regulations under the Act. The information contained in or filed with
the form will be made a matter of the public record in the Commission files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of the
registrant is registered.
4. Amendments to the notifications must also be filed on Form 12b-25 but
