State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-
SAR, or the transition report, or portion thereof, could not be filed within the
prescribed time period.
On March 24, 1995 Cray Computer Corporation (the "Company") filed a
voluntary petition under Chapter 11 of the United States Bankruptcy Code because
of the Company's weak financial condition and inability to complete a financing
that had been in process. Because of such filing, a number of major changes
have to be made to the Company's disclosures in its Form 10-K and Annual Report,
parts of which are incorporated by reference into the Form 10-K. These changes
could not be made in time to file an accurate Form 10-K by its due date without
unreasonable effort and expense.

The earnings statement to be included in the Form 10-K will reflect
continued losses. The net loss for the year ended December 31, 1994 was
$37,786,000 or $.97 per share, compared to a loss for the year ended December
31, 1993 of $47,931,000 or $1.50 per share. Working capital at December 31,
1994 was a negative $6,702,000, compared to a positive $17,718,000 at December
31, 1993.
