stockholder upon conversion of 673,294 shares of Series A Preferred Stock
held by such stockholder. On June 19, 1996, DynaGen, Inc. issued 749,166
shares of Common Stock to a stockholder upon conversion of 504,970 shares
of Series A Preferred Stock held by such stockholder. Between May 4, 1996
and June 19, 1996, option holders exercised stock options resulting in the
issuance of 21,355 shares of Common Stock.
