shareholders. All of the shares were issued by us in connection with our
acquisition of Seagull Networks Ltd. We purchased all of the outstanding shares
of Seagull Networks Ltd. from Seagull Semiconductor Ltd. and Seagull Networks
Ltd. has survived as a wholly-owned subsidiary of Cisco. Cisco will receive no
proceeds from this offering. The selling shareholders named in the table below

other non-sale-related transfer after the date of this prospectus (collectively,
