Part III--Narrative
_________________________________________________________________

State below in reasonable detail the reasons why Form 10-K, 20-F,
11-K, 10-Q, N-SAR or the transition report or portion thereof could
not be filed within the prescribed time period.

The Registrant mothballed its refinery as previously announced, on
March 22, 1998.  The Partnership prepared its financial statements
for the fiscal year ended December 31, 1997, and such financial
statements were audited by the Registrant's independent accountants
in preparation for timely filing the Form 10-K on March 31, 1998. 
However, the determination of the effects of the mothballing of the
refinery, including non-cash charges, severance costs and reversals
of accruals, were not complete on March 31, 1998.  Additional time
is needed to complete development of appropriate disclosures for
inclusion in the "Notes to Financial Statements" and "Management's
Discussion and Analysis of Liquidity and Capital Resources"
sections of its Form 10-K related to the mothballing of its
refinery and to revisions to its debt agreements.

reasons why a reasonable estimate of the results cannot be made.

The Form 10-K when filed will report a net loss for the year ended
December 31, 1997 of $45.0 million compared to a net loss of $6.4
million for the year ended December 31, 1996.

The net loss for 1997 increased from 1996 primarily as a result of
$41.4 million in costs associated with ceasing refinery operations.

                      GENERAL INSTRUCTIONS

1.   This form is required by Rule 12b-25 (17 CFR 240.12b-25) of
the General Rules and Regulations under the Securities Exchange Act
of 1934.

2.   One signed original and four conformed copies of this form and
amendments thereto must be completed and filed with the Securities
and Exchange Commission, Washington, D.C. 20549, in accordance with
Rule 0-3 of the General Rules and Regulations under the Act.  The
information contained in or filed with the Form will be made a
matter of the public record in the Commission files.

3.   A manually signed copy of the form and amendments thereto
shall be filed with each national securities exchange on which any
class of securities of the registrant is registered.

4.   Amendments to the notifications must also be filed on Form
12b-25 but need not restate information that has been correctly
furnished.  The form shall be clearly identified as an amended
notification.
