Pursuant to a Stock Purchase Agreement dated May 23, 1996 (the
"Agreement"), all of the issued and outstanding shares of
Panther Oil Tools (UK) Ltd., an England corporation, were
acquired by Ponder Energy Services, Inc., a Delaware
corporation, a wholly owned subsidiary of Ponder Industries,
Inc., a Delaware corporation ("Issuer"), in consideration of
the issuance by Issuer of 1,200,000 shares of the common
stock, $.01 par value of Issuer.
