Item 4.    Ownership.

           Item 4(a)       Amount beneficially owned:   2,016,550 shares

                           Mr. Yeaman owns 416,550 shares of Tyler Common Stock
                           directly of which William D. Oates has the power to
                           vote 400,000 shares pursuant to certain collateral
                           pledge agreements. In addition, Mr. Yeaman is deemed
                           to beneficially own 1,600,000 shares of Tyler Common
                           Stock owned by the William Hunter Oates 1998 Trust
                           (the "Trust"), of which Mr. Yeaman is a co-Trustee.
                           William D. Oates also has the power to vote these
                           1,600,000 shares pursuant to a collateral pledge
                           agreement.

                           The calculations of the percentage of outstanding
                           Tyler Common Stock are based upon 34,267,399 shares
                           of Tyler Common Stock currently outstanding.
