SUPPLEMENT DATED MARCH 31, 1994
The following information supplements the Prospectus of each of the Funds
listed below effective April 4, 1994. For those Funds having only one class of
shares, all references herein to "Class A shares" shall be deemed to refer to
"shares."
SHAREHOLDER GUIDE--ALTERNATIVE PURCHASE PLAN
REDUCTION AND WAIVER OF INITIAL SALES CHARGES--CLASS A SHARES
Class A shares may be purchased at net asset value, with a waiver of the
initial sales charge, by or on behalf of participants in the Prudential
Retirement Accumulation Program 401(K) Plan for which Prudential Mutual Fund
Services, Inc., the Fund's transfer agent, provides recordkeeping services,
provided that (i) for existing plans, the plan has existing assets of $1
million or more, as measured on the last business day of the month, invested
in shares of Prudential Mutual Funds (excluding money market funds other than
those acquired pursuant to the exchange privilege) held at the transfer agent
and (ii) for new plans, the plan initially invests $1 million or more in
shares of non-money market Prudential Mutual Funds or has at least 1,000
eligible employees or members.
