KW Tarifa, S.A., a Spanish sociedad anomina, ("KWT") hereby files with
the Securities and Exchange Commission, pursuant to Section 33 of the Public
Utility Holding Company Act of 1935 ("Act"), as amended by Section 715 of the
Energy Policy Act of 1992, P. L. 102-487, and Rule 57 of the implementing
regulations thereunder, 17 C.F.R. Section 250.57, this Notice claiming exemption
as a foreign utility company for KWT.
KWT will not own or operate facilities in the United States used for
the generation, transmission or distribution of electric energy, nor will it
derive any part of its income, directly or indirectly from the generation,
transmission and distribution of electric energy for sale within the United
States. Neither KWT nor any of its subsidiary companies is a public utility
company operating in the United States.
In support of such claim for exemption the following information is
submitted.
ITEM 1
STATE THE NAME OF THE ENTITY CLAIMING FOREIGN UTILITY
COMPANY STATUS, ITS BUSINESS ADDRESS.
The company claiming foreign utility company status within the meaning
of Section 33(a)(3) of the Act is:

Neither KWT, LG&E Power Spain Inc., Kenetech International Limited, or
any subsidiary company of any of the foregoing is a public utility company
operating in the United States.
DESCRIPTION OF THE FACILITIES USED FOR THE GENERATION,
TRANSMISSION AND DISTRIBUTION OF ELECTRIC ENERGY FOR
SALE OR FOR THE DISTRIBUTION AT RETAIL OF NATURAL OR
MANUFACTURED GAS.
KWT is a Spanish company whose sole purpose is to own and operate a 30
MW windplant facility in Tarifa, Spain ("Tarifa Facility"). The Tarifa Facility
is an electrical generating facility which uses wind as the power source. The
Tarifa Facility will interconnect with the transmission facilities of Compania
Sevillana de Electricidad ("Sevillana"), a regional generation and distribution
company.
TO THE EXTENT KNOWN, IDENTIFY EACH PERSON THAT HOLDS
FIVE PERCENT OR MORE OF ANY CLASS OF VOTING SECURITIES
OF THE FOREIGN UTILITY COMPANY AND DESCRIBE THE
AMOUNT AND NATURE OF SUCH INTEREST.
There are three entities which together own 100 percent of the stock
(the only voting stock) of KWT. These companies are:
(1) LG&E Power Spain Inc. ("LPS"), a Delaware corporation, is a
third tier wholly owned subsidiary of LG&E Energy Corp., a
Kentucky corporation which is a public utility holding
company exempt from registration under Section 3(a)(1) of
the Act. LPS is a direct subsidiary of LG&E International
Inc., a Delaware corporation. LPS will own approximately
45% of the shares of KWT.

(2) Kenetech International Limited, a Delaware corporation and
wholly owned subsidiary of KENETECH Corporation, a Delaware
corporation, will own approximately 46% of the shares of
KWT. Kenetech intends to sell all but approximately 1%
interest in KWT to a Spanish investor group.
(3) Nuienerg, S.A., a Spanish company which will own
approximately 9% of the KWT shares, is a wholly owned
subsidiary of Sevillana.
ITEM 2
STATE THE NAME OF ANY DOMESTIC ASSOCIATE PUBLIC-
UTILITY COMPANY AND, IF APPLICABLE, ITS HOLDING
COMPANY, AND A DESCRIPTION OF THE RELATIONSHIP
BETWEEN THE FOREIGN UTILITY COMPANY AND SUCH
COMPANY, AND THE PURCHASE PRICE PAID BY ANY SUCH
DOMESTIC ASSOCIATE PUBLIC-UTILITY COMPANY FOR ITS
INTEREST IN THE FOREIGN UTILITY COMPANY.
KWT is an associate public-utility company of Louisville Gas and
Electric Company, which is a direct wholly owned subsidiary of LG&E Energy Corp.
Louisville Gas & Electric Company has no interest in KWT.
EXHIBIT A
The Commission has recognized the adequacy of the Kentucky Public
Service Commission's oversight of LG&E Energy Corp.'s activities for purposes of
Section 33 of the Act. SEE, LG&E ENERGY CORP. letter dated February 22, 1994
(File No. 132-3).
Accordingly, KWT meets the criteria set forth in Section 33(a) for
qualification as a "foreign utility company."
