     Central Termica San Miguel de Tucuman, S.A. ("C.T.S.M.T.") hereby files
with the Securities and Exchange Commission, pursuant to Section 33 of the
Public Utility Holding Company Act of 1935 ("Act"), as amended by Section 715 of
the Energy Policy Act of 1992, P. L. 102-487, and Rule 57 of the implementing
regulations thereunder, 17 C.F.R. Section 250.57, this Notice claiming exemption
as a foreign utility company for C.T.S.M.T.

     C.T.S.M.T. will not own or operate facilities in the United States used for
the generation, transmission or distribution of electric energy, nor will it
derive any part of its income, directly or indirectly from the generation,
transmission and distribution of electric energy for sale within the United
States.  Neither C.T.S.M.T. nor any of its subsidiary companies is a public
utility company operating in the United States.

     In support of such claim for exemption the following information is
submitted.

ITEM 1

                    State the name of the entity claiming foreign utility
                    company status, its business address.
                    ---------------------------------------------------

     The company claiming foreign utility company status within the meaning of
Section 33(a)(3) of the Act is:

                    Central Termica San Miguel de Tucuman, S.A.
                    Reconquesta
                    1001 Buenos Aires, Argentina

     Neither C.T.S.M.T., LG&E Power Argentina I, Inc., Charter Oak Energy,
Inc.,or any subsidiary company of any of the foregoing is a public utility
company operating in the United States.

               Description of the facilities used for the generation,
               transmission and distribution of electric energy for
               sale or for the distribution at retail of natural or
               manufactured gas.
               ---------------------------------------------------

     C.T.S.M.T. is an Argentinean company whose sole purpose is to own and
operate the C.T.S.M.T. Facility.  The Facility is a 115 MW simple cycle natural
gas combustion turbine and associated electrical and natural gas interconnection
equipment located in Tucuman Province, Argentina.  The Facility will
interconnect with the national transmission grid at a substation located on the
adjacent parcel of land.


               TO THE EXTENT KNOWN, IDENTIFY EACH PERSON THAT HOLDS
               FIVE PERCENT OR MORE OF ANY CLASS OF VOTING SECURITIES
               OF THE FOREIGN UTILITY COMPANY AND DESCRIBE THE
               AMOUNT AND NATURE OF SUCH INTEREST.

     There are three entities which each own one third (33.3%) of the common
stock (the only voting stock) of C.T.S.M.T.  These companies are:


          (1)  LG&E Power Argentina I, Inc. ("LPA"), a Delaware corporation,
               a third tier wholly owned subsidiary of LG&E Energy Corp., a
               Kentucky corporation which is a public utility holding
               company exempt from registration under Section 3(a)(1) of the
               Act. LPA is a direct subsidiary of LG&E International, Inc., a
               Delaware corporation.

          (2)  Charter Oak Energy, Inc. ("COE"), a Connecticut corporation
               and a wholly owned subsidiary of Northeast Utilities, a
               registered holding company.  COE, through its wholly owned
               subsidiary, COE Development Corporation ("COE Development"),
               currently owns the common stock of

               C.T.S.M.T.  Since COE Development principally conducts
               preliminary development activities, Charter Oak intends to
               transfer ownership of these shares to another wholly owned
               subsidiary, COE Argentina II Corp., when the project develops
               beyond the preliminary stage.

          (3)  Sideco Americana, S.A. is a company organized and existing
               under the laws of the Republic of Argentina.

ITEM 2

               State the name of any domestic associate public-
               utility company and, if applicable, its holding
               company, and a description of the relationship
               between the foreign utility company and such
               company, and the purchase price paid by any such
               domestic associate public-utility company for its
               interest in the foreign utility company.
               ------------------------------------------------

     C.T.S.M.T. is an associate public-utility company of Louisville Gas and
Electric Company, which is a direct wholly owned subsidiary of LG&E Energy Corp.
Louisville Gas & Electric Company has no interest in C.T.S.M.T.

     In addition, C.T.S.M.T. will be an associate public-utility company of the
domestic public utility subsidiaries of Northeast Utilities.  These domestic
utilities are:  The Connecticut Power & Light Co., Public Service Company of New
Hampshire, Western Massachusetts Electric Company, Holyoke Water Power Co.,
Holyoke Power & Electric Co., North Atlantic Energy Corporation, Connecticut
Yankee Atomic Power Company, Yankee Atomic Electric Company, Maine Yankee Atomic
Electric Power Company, and Vermont Yankee Nuclear Power Corporation.

     None of the Northeast Utilities associate domestic public-utility companies
has a direct relationship with C.T.S.M.T. and none of these domestic public-
utility companies made any direct contribution toward the purchase price of the
interest in C.T.S.M.T., nor will any contribute funds toward the development or
operation of the facilities.

EXHIBIT A

The Commission has recognized the adequacy of the Kentucky Public Service
Commission's oversight of LG&E Energy Corp.'s activities for purposes of Section
33 of the Act.  SEE, LG&E ENERGY CORP. letter dated February 22, 1994 (File No.
132-3).  This provision is inapplicable to COE.

     Accordingly, C.T.S.M.T. meets the criteria set forth in Section 33(a) for
qualification as a "foreign utility company."
