OPPENHEIMER GLOBAL GROWTH & INCOME FUND
Supplement Dated May 1, 1994
To The Prospectus Dated January 20, 1994
On or about May 13, 1994, a proxy statement will be mailed to
shareholders of record of the Fund as of April 22, 1994. It
contains a proposal to adopt a new investment advisory agreement
between the Fund and Oppenheimer Management Corporation, its
investment adviser, that would provide for an increase in the
management fee rates paid by the Fund. The current rates are
described in "Management of the Fund" on page 13 of the Prospectus.
If approved, this change would have the effect of increasing the
expenses borne by the Fund.
