Explanation of Responses:
(01) Shares were acquired as a result of Centura's acquisition of Betts & Co., of which WEND Emterprises held a general part
nership interest. WEND was owned by the insider and his spouse and under the terms of the Agreemen
t and Plan of Reorganization, the insider received 29,959 shares of Centura and his spouse receive
d 9,962 shares. 12,700 shares of Centura owned by WEND were surrendered to Centura under the terms of
the agreement.
(02) Options to purchase common stock under an ongoing directors deferred compensation plan; aggregate shares reflected in Co
lumn 9 have various exercise prices, based on day of grant. Can be exercised at will and expires on
e year after ceases to be a director.
