Item 5.       Other Events

On July 13, 2000, Centura Banks, Inc. ("Centura") announced earnings for the
three and six month periods ended June 30, 2000. Net income for the second
quarter of 2000 was $20.9 million or $0.52 per diluted share, including $11.2
million of pre-tax merger-related and other significant charges. This compares
with 1999's second quarter net income of $35.7 million or $0.88 per diluted
share. Year-to-date 2000 net income, including $50.7 million of merger-related
and other significant charges, was $29.0 million compared with year-to-date 1999
net income of $62.8 million. Excluding merger-related and other significant
charges, diluted earnings per share for the three and six months ended June 30,
2000 was $0.72 and $1.62, respectively.
