Due to financial difficulties the registrant was unable to obtain
year end 1996 audited financial statements within the time
required. This has also caused a delay with first quarter ending
March 31, 1997 financial statements.

and amendments thereto must be completed and filed with the
Securities and Exchange Commission, Washington, D.C. 20549, in
accordance with Rule 0-3 of the General Rules and Regulations
under the Act. The information contained in or filed with the
Form will be made a matter of public record in the Commission
files.
3. A manually signed copy of the form and amendments thereto
shall be filed with each national securities exchange on which
any class of securities of the registrant is registered.

Response to Part IV, Item 3
The registrant anticipates that its consolidated statement of
operations to be included in its 10Q will reflect the following
significant changes:
The Company's revenues are estimated to be approximately $4.6
Million in the quarter ended March 31, 1997 and the Company
estimates that it will report a net loss for the quarter ended
March 31, 1997. These estimates are preliminary and unaudited
and may vary from final results.
