of common stock by virtue of F&M's ownership of 598,716 shares
of common stock, warrants to purchase 149,999 shares of common
stock, and a convertible note in the principal amount of
$117,409 which is convertible into 3,354,556 shares of common
stock, all of which are exercisable within 60 days.
