DREYFUS MICHIGAN MUNICIPAL MONEY MARKET FUND, INC.
Supplement to Prospectus Dated December 15, 1995
At a Meeting of the Board of Directors of the Fund
held on April 17, 1996, the Board voted to approve an
Agreement and Plan of Reorganization between the Fund
and Dreyfus Municipal Money Market Fund, Inc.
("DMMMF") providing, in pertinent part, that the Fund
exchange all of its assets, subject to liabilities,
for shares of DMMMF, after which the Fund will
distribute pro-rata the DMMMF shares received to its
shareholders. Fund shareholders of record as of May
30, 1996 will be entitled to vote on this proposal at
a Meeting of Stockholders scheduled to be held on July
22, 1996.
Effective April 24, 1996, sales of Fund shares will be
suspended indefinitely in anticipation of the Meeting
of Shareholders, except that shareholders of record on
April 24, 1996 (i) will be entitled to make subsequent
investments in Fund shares without limitation and (ii)
will continue to be able to have dividends reinvested.
