the prescribed time period.

      The subject Form 10-Q cannot be timely filed without unreasonable effort
      or expense because the Company's staff has been reduced in order to lower
      operating costs.

     the corresponding period for the last fiscal year will be reflected by the
     earnings statements to be included in the subject report or portion

     estimate of the results cannot be made.

     A significant change in the results of operations in the corresponding
     period for the last fiscal year will be reflected in the earnings
     statement to be included in the subject report primarily due to a labor
     claim settlement in the amount of $180,000 and an increase of
     approximately $830,000 in the provision for doubtful accounts. As a
     result, the Company's operating loss is expected to be approximately
     $1,122,000 and the Company's net loss applicable to common stockholders is
     expected to be approximately $1,355,000.
