ITEM 5: OTHER EVENTS
On April 3, 2000, Flextronics International Ltd., a Singapore company
("Flextronics"), completed its merger with The DII Group, Inc. ("DII"). On April
7, 2000, Flextronics completed its merger with Palo Alto Products International
Pte. Ltd. ("PAPI"). Each of these transactions was accounted for under the
pooling-of-interests method of accounting. Included herein as Exhibit 99.03 are
the supplemental consolidated financial statements of Flextronics as of March
31, 1999 and 2000 and for each of the three years in the period ended March 31,
2000. These supplemental consolidated financial statements give retroactive
effect to the mergers with DII and with PAPI. Also, included herein as Exhibit
99.01 is the selected supplemental consolidated financial data, which is derived
from the supplemental consolidated financial statements. Included herein as
Exhibit 99.02 is Management's Discussion and Analysis of Results of Operations
and Financial Condition, which relates to the supplemental consolidated
financial statements.
