                             GENERAL INSTRUCTIONS

   Rules and Regulations under the Securities Exchange Act of 1934.

2. One signed original and four conformed copies of this form and amendments
   thereto must be completed and filed with the Securities and Exchange
   Commission, Washington, D.C. 20549, in accordance with Rule O-3 of the
   General Rules and Regulations under the Act. The information contained in
   or filed with the form will be made a matter of public record in the
   Commission files.

   the registrant is registered.

PART III - NARRATIVE

The Form 10-K could not be completed due to the Company's employment of new
accountants during 1999 and the corresponding additional time needed to audit
the Company's 1999 discontinued operations.


PART IV - OTHER INFORMATION

Pending completion of an audit, the Company anticipates an estimated $3.7
million net loss for fiscal 1999, compared to a $14.6 million net loss for
fiscal 1998, principally due to the discontinuance of the Company's snowboard
operations in 1999 and the significant losses those operations created in
1998.
