Supplement to Prospectus dated October 31, 1994
On or about November 18, 1994, Pennsylvania Municipal Income
Fund - Income Shares, will be converted into Class A Shares of
the Pennsylvania Municipal Income Fund.  A sales load will not
be imposed on those Income Shares that convert into Class A
Shares.
