PROSPECTUS DATED JUNE 15, 1996 OF

The PIMCO Strategic Balanced Fund became operational on June 28, 1996.
Accordingly, "Management of the Trust" on page 32 of the June 15, 1996
prospectus is amended as follows:
Fund Manager and Business Experience(past five years)
Strategic Balanced Fund David H. Edington, Managing Director, PIMCO and
Ram Willner, Fixed Income Research Analyst,
PIMCO. Mr. Edington and Dr. Willner have
co-managed the Strategic Balanced Fund since its
inception, June 28, 1996. Mr. Edington joined
PIMCO in 1987. Prior to joining PIMCO in 1994,
Dr. Willner was associated with Stanford C.
Bernstein & Company.
