On April 5, 2000, the Company and ten of its subsidiaries filed
voluntary petitions with the United States Bankruptcy Court for reorganization
under Chapter 11. As a result of our Chapter 11 filing, we are evaluating
various strategic alternatives, including the possible sale or disposition of
certain Company assets. Due to continuing negative cash flows, we have
determined that an impairment of long-lived assets exists as of September 30,
2000. We are currently working with our external auditors to quantify the extent
of the impairment.
