ITEM 1. DESCRIPTION OF REGISTRANT'S SECURITIES TO BE REGISTERED.
This Registration Statement relates to the ____ % Preferred
Redeemable Increased Dividend Equity Securities ("PRIDES") of
Hollinger International Inc. (the "Company"). The Company filed
a Registration Statement on Form S-3, Registration No. 333-06619,
on June 21, 1996 in order to effect the registration of
24,725,000 purchase contracts representing the PRIDES under the
Securities Act of 1933. Certain information contained in that
Registration Statement, including certain of the information
necessary to describe the PRIDES, shall be deemed to be
incorporated by reference into this Registration Statement.
