The Company's form 10-Q could not be filed within the prescribed time
period due to time constraints brought on by the resolution of the
classification and disclosure of certain non-core asset sales anticipated
to be made in 1997.

    Registrant will report an increase in revenues of approximately $7.0MM; 
an increase in costs and expenses of approximately $4.8MM and a decrease in
net loss of approximately $1.4MM.
