(National  Association) became successor to United  States  Trust
Company  of New York as Trustee of Templeton Growth and  Treasury
Trust,  Series  1  and  Templeton Foreign Fund  &  U.S.  Treasury
Securities  Trust, Series 1.  This change will have  no  material
effect  upon Unit holders of Templeton Growth and Treasury Trust,
Series  1  and Templeton Foreign Fund & U.S. Treasury  Securities
Trust,  Series 1.  In addition, the address and phone number  for
the Trustee listed in the Prospectus will remain the same.
