Item 8.               Name of person to whom each security was issued, renewed
                      or guaranteed.

                      Pursuant to competitive bidding, the Company issued and
                      sold the Bonds to Furman Selz LLC, as the Purchaser
                      pursuant to Purchase Contract effective May 23, 1996.

Item 9.               Collateral given with each security, if any.

                      The Company's First Mortgage Bonds are entitled to the
                      benefit of a first lien on substantially all assets of the
                      Company.

Item 10.              Consideration received for each security.

                      $19,854,566.67 (98.717% of the principal amount plus
                      accrued interest in the amount of $111,166.67).

Item 11.              Application of proceeds of each security.

                      The net proceeds from the sale of the Bonds, together with
                      $10,000,000 in bank borrowings having a term of five
                      years, will be used by the Company to redeem in July 1996
                      the $28,200,000 outstanding principal amount of its First
                      Mortgage Bonds, 9 3/8% Series due July 1, 2021.
