SUPPLEMENT TO THE PROSPECTUS OF
DEAN WITTER MULTI-STATE MUNICIPAL SERIES TRUST
DATED FEBRUARY 17, 1994
The third sentence of the paragraph under the "Annual Fund Operating
Expenses--Example" table of the "Summary of Fund Expenses" appearing at page
three of the Prospectus is amended as follows (new language in italics):
In addition, the Investment Manager will continue to waive management
fees and assume expenses (except for 12b-1 and brokerage fees) to the extent
that they exceed 0.50% of daily net assets with respect to the Massachusetts,
Michigan, Minnesota, New York and Ohio Series of the Fund until June 30,
1995.
The last sentence of the sixth paragraph in the section "The Fund and its
Management" on page eight of the Prospectus is hereby amended as follows (new
language in italics):
The Investment Manager will continue to waive management fees and assume
any expenses (except for 12b-1 and brokerage fees) exceeding 0.50% of daily
net assets with respect to the Massachusetts, Michigan, Minnesota, New York
