TO THE PROSPECTUS DATED APRIL 24, 1996

Effective August 16, 1996, Kevin J.T. Pakenham resigned as Director and
Chairman of the Board of The Govett Funds, Inc. Mr. Pakenham will continue his
day to day involvement with the Funds as Chief Executive Office and Joint
Chairman of John Govett & Co. Limited, the Funds' investment manager ("John
Govett"). On the same date, the Board of Directors elected Patrick Cunneen as
Director and Chairman of the Board to succeed Mr. Pakenham.
Mr. Cunneen graduated from University College, Dublin with a Bachelor
of Commerce degree in 1967. He joined Allied Irish Bank Investment Managers
Limited ("AIBIM") as Managing Director in 1991. AIBIM is a subsidiary of Allied
Irish Banks p.l.c., the majority owner of John Govett. Prior to joining AIBIM,
Mr. Cunneen was Managing Director of New Ireland Assurance Company Limited,
where he had been since 1972. He has been a member of the Society of Investment
Analyst since 1974, and is a former Chairman of the Irish Association of
Investment Managers.
