THE FOLLOWING DISCLOSURE AMENDS CERTAIN INFORMATION CONTAINED IN THE FUND'S
PROSPECTUS SUPPLEMENT DATED JUNE 22, 1995 RELATING TO THE PLAN OF REORGANIZATION
AND TERMINATION:
The meeting of the Fund's shareholders to consider the proposed Plan of
Reorganization and Termination with PaineWebber Global Income Fund
("Reorganization") will be held on October 5, 1995, not August 25, 1995. If the
Reorganization is approved, sales of all Classes of Fund shares will cease on
October 20, 1995, so that Fund shares will no longer be available for purchase
or exchange starting on October 23, 1995 through the closing date of the
Reorganization.
