As previously reported, an aggregate of 837,445 shares were registered
for sale on behalf of certain stockholders of the Outback Steakhouse, Inc.
(the "Company"), and as of the close of business of June 27, 1996, the
offering was terminated. As a result of three broker dealer firms
failing to timely notify the Company of sales made pursuant to the
Prospectus, the Company reported the sale of a lesser number of shares
than actually were sold. Accordingly, the Company hereby amends its
previous filing to report that a total of 388,576 shares of Common
Stock were sold by the selling stockholders pursuant to the Prospectus.
