Explanation of Responses:
1. Owned by Multi-Venture Partners, Ltd., a Nevada limited partnership
("MVP"), of which Mr. Basham is a Limited
Partner. MVP transferred 5,300 shares in a non-liquidating distribution to
another one of its Limited Partners. As a
result, Mr. Basham's pecuniary interest held in MVP did not
change.
