Explanation of Responses:
(1) On December 29, 2000, Mr. Basham contributed 1,940,000 shares to the Robert
D. Basham Irrevocable Trust Agreement of 2000 of which the reporting person is
the beneficiary. Mr. Basham
continues to report beneficial ownership of all of the common stock held by the
trust. The foregoing transaction is exempt from Section 16 pursuant to Rule
16a-13 as a change in form of beneficial
ownership. The shares are now reported as indirectly owned as reflected in
Table 1.
(2) Owned by Multi-Venture Partners, Ltd., a Nevada limited partnership
("MVP"). The reporting person is a limited partner in MVP and owns an interest
in the General Partner of MVP.
