N-SAR, or the transition report or portion thereof could not be filed within the
prescribed period.
The Registrant is unable to file its Annual Report on Form 10-KSB for the year
ended June 30, 1997 for the following reasons: The Registrant's financial
statements for the fiscal year ended June 30, 1997 have not been completed due
to the fact that the current chief financial officer came on board by
mid-August. In addition, the registrant has been unable to ascertain necessary
tax information for its U.K. subsidiary.
