The Registrant acquired the operations of
Sterling Healthcare Group, Inc. on July 8,
1999. Due to the time and effort devoted to
this acquistion, the registrant is unable
to file its quarterly report on form 10-Q
for the quarter ended June 30, 1999 within
the prescribed time period.
