State below in reasonable detail the reasons why the Form 10-K, Form 10-KSB,
11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be
filed with the prescribed time period. (Attach Extra Sheets if Needed)
As a result of significant financial difficulties and severe negative cash
flow, the Company is unable to complete the closing for its fiscal year ended
July 31, 1999 and is also unable to engage a Certified Public Accounting firm to
commence the audit. In addition, the Chief Financial Officer resigned on October
15, 1999 and the Chief Executive Officer resigned on October 29, 1999.
The Company is pursuing alternative measures which include the possible
sale of the Company or certain subsidiaries and assets.

SCHEDULE A
Based upon the results of operations for the nine months ended April 30,
1999 and the decrease in billings for the quarter ended July 31, 1999 the
Company anticipates a loss of approximately $2,250,000 for the fiscal year ended
July 31, 1999 as compared to an operating loss of $2,429,638 for the 1998 fiscal
year. The total loss for fiscal 1998, including an impairment of goodwill of
$7,500,000, was $9,929,638. The 1999 figures are estimates and are subject to
further review and adjustment.
