This Amendment No. 9 ("Amendment No. 9") amends and
supplements the Statement on Schedule 13D (the "Schedule 13D"), filed on June 7,
1999, as amended by Amendment No. 1 filed on June 16, 1999, Amendment No. 2
filed on July 12, 1999, Amendment No. 3 filed on February 1, 2000, Amendment No.
4 filed on February 8, 2000, Amendment No. 5 filed on February 23, 2000,
Amendment No. 6 filed on June 14, 2000, Amendment No. 7 filed on June 16, 2000
and Amendment No. 8 filed on August 15, 2000, by Jubilee Limited Partnership
("JLP"), Jubilee Limited Partnership III ("JLPIII"), Schottenstein Professional
Asset Management Corp. ("SPAMC"), Jay L. Schottenstein ("JS") and Schottenstein
Stores Corporation ("SSC" and, collectively with JLP, JLPIII, SPAMC and JS, the
"Original Reporting Persons"). As indicated in Amendment No. 8 to the Schedule
13D, Michael L. Ashner ("MLA") and Susan Ashner ("SA" and collectively with MLA,
the "Additional Reporting Persons") have joined the Original Reporting Persons
for the purposes of the filing requirements of Section 13(d) of the Exchange
Act. The Original Reporting Persons together with the Additional Reporting
Persons are sometimes referred to herein collectively as the "Reporting
Persons." Capitalized terms used herein and not defined herein have the meanings
ascribed thereto in the Schedule 13D. Information contained herein with respect
to each Reporting Person is given solely by such Reporting Person, and no other
Reporting Person has responsibility for the accuracy or completeness of
information supplied by such Reporting Person.
ITEM 1. SECURITY AND ISSUER.
This Amendment No. 9 relates to shares of common stock,
$.01 par value (the "Shares"), of Burnham Pacific Properties, Inc., a Maryland
corporation (the "Company"). The principal executive offices of the Company are
located at 610 West Ash Street, San Diego, CA 92101.
ITEM 4. PURPOSE OF TRANSACTION.
The information set forth in Item 4 of the Schedule 13D is
hereby amended and supplemented by the following:
The Reporting Persons (other than Susan Ashner, the "SA
Group") have been engaged in discussions and negotiations with the Company and
its representatives with a view toward reaching a consensual arrangement with
respect to corporate governance and related matters, including, (i) the possible
nomination of one or more members of the SA Group for election to the Company's
Board of Directors, (ii) the appointment of an affiliate of the SA Group to
serve as managing and liquidating agent of the Company, (iii) the ability of the
SA Group to acquire beneficial ownership of an additional limited percentage of
the outstanding Shares, (iv) the dismissal of pending litigation instituted by
the Original Reporting Persons against the Company and certain of its affiliates
and the execution of mutual releases by the SA Group and the Company with regard
thereto and (v) the possible provision, by the SA Group or their affiliates, of
an unsecured bridge financing facility in connection with the Company's plan of
liquidation. There can be no assurance that an agreement will be reached between
the members of the SA Group and the Company with respect to such matters.

Unless the SA Group has entered into an agreement with the
Company prior to the expiration date for the submission of nominees (currently
September 7, 2000) at the Company's 2000 Annual Meeting of stockholders (the
"2000 Annual Meeting), the Reporting Persons intend to deliver a Notice of
Intention to Present Nominations to the Secretary of the Company, indicating its
intention to nominate eight directors for election to the Company's Board of
Directors at the 2000 Annual Meeting, and file a proxy statement with the
Securities and Exchange Commission with respect to the solicitation of proxies
for the election of their nominees at the 2000 Annual Meeting and to solicit
proxies for such election.
Except as set forth above and in the Schedule 13D, none of
the Reporting Persons has any plans or proposals which relate to or would result
in any of the actions set forth in parts (a) through (j) of Item 4.
