SUPPLEMENT TO THE PROSPECTUS DATED JANUARY 1, 1995


The following information updates the disclosure found on page 36 of the 
Prospectus of the Trust under "Purchase of Shares:"

Minimum Investment.  The minimum initial investment in the Trust, including 
Plans, is $10,000 and the minimum investment in any individual Portfolio is 
$100.  Employees of Smith Barney, accounts of their immediate families and 
individual retirement accounts and certain employee pension benefit plans 
for those persons will be subject to a $5,000 minimum investment.  The 
Trust reserves the right at any time to vary the initial and subsequent 
investment minimums.

Small Capitalization Value Equity Investments

	On November 15, 1994, NFJ Investment Group ("NFJ") succeeded NFJ 
Investment Group, Inc., formerly a wholly-owned subsidiary of Pacific 
Financial Asset Management Corporation ("PFAMCo"), as an advisor to Small 
Capitalization Value Equity Investments.  NFJ became a subsidiary 
partnership of PIMCO Advisors L.P. as part of the consolidation of the 
investment advisory and other businesses of PFAMCo and certain of its 
subsidiaries with Thompson Advisory Group L.P.  No changes in advisory fees 
or portfolio management have occurred as a result of the consolidation.  A 
proxy statement describing these matters in greater detail was previously 
sent to shareholders.  Shareholders have not, as yet, approved the new 
investment advisory agreement with NFJ.

Large Capitalization Value Equity Investments

	On November 15, 1994, Parametric Portfolio Associates ("Parametric") 
succeeded Parametric Portfolio Associates, Inc., formerly a wholly-owned 
subsidiary of PFAMCo, as an advisor to Large Capitalization Value Equity 
Investments.  Parametric became a subsidiary partnership of PIMCO Advisors 
L.P. as part of the consolidation of the investment advisory and other 
businesses of PFAMCo and certain of its subsidiaries with Thompson Advisory 
Group L.P.  No changes in advisory fees or portfolio management have 
occurred as a result of the consolidation.  A proxy statement describing 
these matters in greater detail was previously sent to shareholders.  
Shareholders have not, as yet, approved the new investment advisory 
agreement with Parametric.

	Prospective Wisconsin investors should note the following: (a) each 
of the Portfolios offered by the Trust may invest up to 10% of such 
Portfolio's total assets in restricted securities.  Investments in 
restricted securities in excess of 5% of a Portfolio's total assets may be 
considered a speculative activity and may involve greater risk and may 
increase the Portfolio's expenses; and (b) each of the Portfolios offered 
by the Trust may engage in short-term trading although the Portfolios, 
other than Small Capitlization Growth Investments and International Equity 
Investments, do not intend to seek profits through active short-term 
trading.  Such investments may be considered speculative and may involve 
greater risk and may increase the Portfolio's expenses.
