The Issuer issued the following shares of its common stock in the following
transactions:
(i) An aggregate of 168,697 shares were issued between September 12, 1996 and
September 19, 1996 upon the conversion of preferred stock of the Issuer. An
additional 28,862 shares were issued after September 19, and through the date
hereof, upon the conversion of preferred stock; and
(ii) An aggregate of 362,500 shares were issued on September 19, 1996 upon
exercise of stock options; and
(iii) An aggregate of 750,000 shares were issued on September 20, 1996 in
exchange for the assignment of certain options.
