SUPPLEMENT DATED MAY 24, 1996
TO THE PROSPECTUS OF
FRANKLIN INTERNATIONAL EQUITY FUND
(Franklin Templeton International Trust)
Dated March 1, 1996
The following is added to the disclosure under "What Are the Fund's Potential
Risks? - Foreign Securities"
"Many of the countries in which the Fund may invest are considered
developing or emerging markets. Investments in these markets are subject to
all of the risks of foreign investing generally, and have additional and
heightened risks due to the small size and lesser liquidity of these
markets and other factors. As a non-fundamental policy, the Fund will limit
its investments in Russian securities to 5% of its total assets. Russian
securities involve additional significant risks, including political and
social uncertainty (for example, regional conflicts and risk of war),
currency exchange rate volatility, pervasiveness of corruption and crime in
the Russian economic system, delays in settling portfolio transactions and
risk of loss arising out of Russia's system of share registration and
custody. For more information on these and other risks associated with
Russian securities, please see the SAI."
