State below in reasonable detail the reasons why Form 10-K and 10-KSB, 20-F,
11-K, 10-Q and 10-QSB, N-SAR, or the transition report or portion thereof
could not be filed within the prescribed period.

       Siskon Gold Corporation is currently in negotiations to raise
additional working capital. The result of the negotiations may affect the
financial condition of Siskon.  Therefore, additional time is necessary to
complete Siskon's Form 10-QSB for the quarter ended September 30, 1996.

     For the quarter ended September 30, 1996, Siskon incurred a net loss of
$1,057,372 compared to a net loss of $137,648 for the quarter ended September
30, 1995.  The increased loss in 1996 compared to 1995 was primarily
attributable to the recognition of revenues, production costs, non-cash costs
and royalties commending in mid-May 1996 when Siskon commenced commercial
production at the San Juan Mine.
