Explanation of Responses: FWY 405, Inc. purchased Series D Preferred shares
through issuance of a Promissory Note in the amount of $2,460,000 secured by the
20,000 shares. These shares are restricted under Rule 144 and were sold at a
rate of 70% of the low bid price of common stock on 9/22/97 taking into account
the conversion ratio of one share of preferred for one hundred shares of common
stock.
