the prescribed time period.

As a result of the determination subsequent to April 30, 1998, to discontinue 
the operations of ATG Media, Inc. and hold certain mining properties for 
disposal, changes are required in the presentation of the financial 
statements which necessitate additional time to complete.

    Revenue during the three and nine month periods ended April 30, 1998 is 
    estimated to be substantially less than for the comparable periods ended 
    April 30, 1997 due to the discontinuance of the sale of laundry products 
    to TradeNet Marketing Inc. However, loss per share for the three month 
    period ended April 30, 1998 is estimated to be $0.05 as compared to $0.09 
    for the comparable period ended April 30, 1997 and loss per share for the 
    nine month period ended April 30, 1998 is estimated to be $0.23 as 
    compared to $0.40 for the nine month period ended April 30, 1997.
