This Prospectus Supplement relates to the Prospectus, dated March 7,
1996, of Medaphis Corporation, a Delaware corporation ("Medaphis"). Such
Prospectus relates to 2,000,000 shares of common stock, par value $.01 per
share, of Medaphis ("Medaphis Common Stock"), which may be offered by Medaphis
from time to time in connection with acquisitions of other businesses or
properties.
On April 4, 1996, Medaphis acquired all of the outstanding shares of
capital stock of Rapid Systems Solutions, Inc., a Maryland corporation
("RSSI"), in exchange for 1,135,495 shares of Medaphis Common Stock pursuant to
that certain Merger Agreement, dated March 12, 1996, by and among Medaphis,
RipSub, Inc., a Georgia corporation and a wholly owned subsidiary of Medaphis,
and RSSI. RSSI is a client/server systems integration company whose core
competencies include: network design, integration and management; database
design and development; graphical user interface application design,
development and implementation; and strategic systems engineering and computer
security.
