        On May 6, 1996, stockholders of BSG Corporation, a Delaware corporation
        ("BSG"), became entitled  to receive .2300 shares of voting common
        stock, par value $0.01 per share, of Medaphis Corporation, a Delaware
        corporation  ("Medaphis"), in exchange for each share of common stock,
        par value $0.01 per share, of BSG upon the consummation of the merger
        of BSG Sub, Inc., a Delaware corporation and a wholly-owned subsidiary
        of Medaphis ("BSG Sub"), with and into BSG, in accordance with the
        terms and conditions of that certain Merger Agreement, dated as of
        March 15, 1996, by and among Medaphis, BSGSub and BSG (the "Merger
        Agreement").  Under the terms of the Merger Agreement, BSGSub was
        merged with and into BSG and BSG survived the merger.
