The  Registrant  is currently  in  discussions  with a third party  concerning a
transaction which would affect disclosures in the Registrant's Form 10-Q. Due to
the  current  state  of  such  discussions  the  Registrant  is  unable  to make
appropriate disclosures in time to file the Form 10-Q by May 15, 2000.

Total revenues from  continuing  operations for the three months ended March 31,
2000 increased 54% to $6,163,334, as compared to $4,001,816 in the first quarter
of 1999.  The  Company's  net loss for the three  months  ended  March 31,  2000
increased 21%, to $1,596,583,  as compared to $1,318,132 in the first quarter of
1999.  The Company's  results for the first quarter of 1999 included  gains from
the sale of securities of $502,451.
