                                 GENERAL INSTRUCTIONS

    1. This form is required by Rule 12b-25 of the General Rules and
Regulations under the Securities Exchange Act of 1934.

amendments thereto must be completed and filed with the Securities and Exchange
Commission, Washington, DC 20549, in accordance with Rule 0-3 of the General

                                       PART III
                                      NARRATIVE

The portions of the registrant's Form 10-K that cannot be filed within the
prescribed time period were to have been incorporated by reference to the
registrant's definitive proxy statement, which was to have been filed with the
Commission on July 29, 1996. The registrant's executive officers and finance
personnel, who ordinarily would assemble and prepare the required information,
have devoted their activities over the recent period to attempting to resolve
the significant financial difficulties being experienced by the registrant,
which culminated in the registrant filing for protection from its creditors
under Chapter 11 of the U.S. Bankruptcy Code on July 26, 1996. They have thus
been unable to assemble and prepare the required information within the
prescribed time period.
