Data and other information requested by our auditors regarding certain material
transactions undertaken by us during the final quarter of 1999 and the
accounting treatment of such transactions is currently being compiled and could
not be made available without unreasonable effort and expense. Additionally,
because we changed auditors, portions of our annual report require review by our
prior auditors, and due to the delay described above the report could not be
provided for their review prior to the filing date without unreasonable effort
and expense.

                 made.

While we have not finalized our financial statements, we expect to report that
our losses from operations will have increased to approximately $7,407,000 in
1999 from approximately $3,181,000 in 1998. This increase reflects the increased
expenses associated with the restructuring and reorganization of the Company
from its change in management in July 1998 and the redirection of the Company
from its previous research & development focus to manufacturing and sales. The
loss for 1999 is expected to include stock-based expenses for issuing warrants
and debt incurred in 1999, which enabled the Company to obtain the necessary
capital resources to support working capital and development needs in 2000.
