PROSPECTUS SUPPLEMENT
To Prospectus dated on July 12, 1996
(Registration Nos. 33-44329, 33-86920, 33-80571)
Effective July 30, 1996, pursuant to a request in accordance with the
Warrant Agreement, the Company consented to the transfer of 114,500
Warrants held by Mark A. DeSimone to Mark A. DeSimone and Leslie M.
DeSimone (his wife, formerly L.M. Paul), joint tenants.
Accordingly, on Page 13 and 14 of the Prospectus, L.M. Paul's beneficial
ownership prior to the offering increases to 154,500 shares, or 5.0%.
The 114,500 Warrants are also included in Mark A. DeSimone's beneficial
ownership totals.
