PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.


On January 18, 2000, MPAN and substantially all of its subsidiaries, including
Mariner Health Group, Inc. and its subsidiaries, filed voluntary petitions (the
"Chapter 11 Filings") in the United States Bankruptcy Court for the District of
Delaware under Title 11 of the United States Code, 11 U.S.C. (S)101. As a result
of the large and complex nature of the Chapter 11 Filings, the preparation
therefor, as well as attending to various post-petition matters such as first
day orders and debtor-in-possession financing arrangements, management has been
unable to devote the necessary resources required in order to make a timely
filing of the Form 10-Q referred to above.

     MPAN expects to report a Net Loss of approximately $60 million for the
     quarter ended December 31, 1999, compared to a Net Loss of $39 million for
     the same period of the prior fiscal year. The increased loss is
     attributable to the substantially reduced revenues caused (i) by the full
     implementation of the Prospective Payment System which was only partially
     implemented during the same period of the prior fiscal year; and (ii) by
     exiting the therapy, home health and contract management services
     businesses.
